These Terms of Service (“Terms”) govern your access to and use of the BRICKX website and services operated by BrickX Holdings Inc. (“we,” “us,” or “BRICKX”). By registering for an account or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Eligibility

The Services
BRICKX provides access to property-related information, a platform for peer-to-peer secondary marketplace transactions, and account and payment management tools. Accounts

We do not guarantee the completion, quality, or legality of any transaction. Settlement times, dispute processes, and prohibited activities are governed by additional platform rules where applicable.

Intellectual Property
All content, trademarks, logos, and intellectual property associated with the Services—excluding user-submitted content—are owned by BRICKX or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.

User Content
By submitting content to the Services, you grant BRICKX a worldwide, royalty-free license to use, reproduce, and display such content as necessary to operate and improve the platform. You represent that you have all necessary rights to grant this license.

Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRICKX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRICKX AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $1,000 USD, EXCEPT WHERE PROHIBITED BY LAW.

Indemnification
You agree to defend, indemnify, and hold harmless BRICKX and its affiliates from and against any claims, damages, or expenses arising out of your use of the Services, your content, or your violation of these Terms, subject to applicable law.

Changes to These Terms
We may update these Terms from time to time. Updated versions will be posted on our website, and material changes may require your renewed acceptance. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

Termination
You may stop using the Services at any time. We reserve the right to suspend or terminate your access at our discretion for violations, risk management, or legal compliance reasons. Provisions that by their nature should survive termination will remain in effect.

Miscellaneous
These Terms constitute the entire agreement between you and BRICKX regarding the Services. If any provision is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Failure to enforce any provision shall not be considered a waiver.
